Assistant Manager (Company Secretary IN)

We are seeking a highly organized and detail-oriented Corporate Company Secretary to join our team. The successful candidate will be responsible for ensuring the company's compliance with statutory and regulatory requirements, managing corporate governance, and maintaining effective communication between the board of directors, shareholders, and company management. This role requires a comprehensive understanding of corporate law, excellent administrative skills, and the ability to handle sensitive information with discretion.

Key Responsibilities:

Corporate Governance:

  • Ensure the company's compliance with statutory and regulatory requirements.
  • Develop and oversee the implementation of corporate governance policies and procedures.
  • Ensure that decisions made at board and committee meetings are communicated to the relevant company stakeholders and implemented accordingly.

Regulatory Compliance:

  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
  • Liaise with external regulators and advisers, such as lawyers and auditors.
  • Ensure that the company complies with legal obligations and best practices in corporate governance.

Record Keeping and Reporting:

  • Maintain statutory books, including registers of members, directors, and secretaries.
  • Ensure the timely filing of annual returns, financial statements, and other statutory documents.
  • Prepare and file necessary documentation with regulatory bodies, such as the registrar of companies.
  • Keep records of resolutions passed by the board and general meetings.

Advisory Role:

  • Provide guidance to directors on their duties and responsibilities.
  • Advise the board on corporate governance matters.

Qualifications:

  • Chartered Secretary (ICSA) qualification or equivalent.
  • Bachelor’s degree in Law, Business Administration, or a related field.
  • Minimum of 3 years of experience in a company secretarial or corporate governance role.
  • In-depth knowledge of corporate law, governance, and regulatory requirements.
  • Excellent organizational and time-management skills.
  • Strong written and verbal communication skills.
  • High level of integrity and ability to handle confidential information.
